If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

LabTools provides a comprehensive platform for scientific data management, analysis, and collaboration. Our Services include:

• Desktop application for data analysis and visualization
• Cloud storage and synchronization
• Team collaboration features
• Video conferencing and messaging
• Protocol and experiment management
• Statistical analysis tools
• Specialized scientific modules

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe, in our sole discretion, are being used fraudulently or inappropriately.

Some features of our Services require a paid subscription. By subscribing to a paid plan:

• You agree to pay all applicable fees as described on our pricing page
• Fees are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• All payments are processed securely through our payment provider (Stripe)
• Prices may change with reasonable notice

Refunds: Refund requests are evaluated on a case-by-case basis at our discretion. Please see our Refund Policy for more details.

Free Trial: If we offer a free trial, you may be required to provide payment information. You will not be charged until the trial period ends, and you may cancel before then to avoid charges.

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Engage in any activity that could damage, disable, or impair our Services
• Use automated means to access our Services without our permission
• Collect or harvest user information without consent
• Impersonate any person or entity
• Send spam, unsolicited communications, or promotional materials
• Use our Services for any illegal, fraudulent, or harmful purpose

Your Content: You retain ownership of all content, data, and materials you upload, submit, or create through our Services ("User Content"). By uploading User Content, you grant us a limited license to host, store, and display your content solely to provide our Services to you.

Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to upload and share such content.

Prohibited Content: You may not upload content that is illegal, infringing, defamatory, obscene, or otherwise objectionable.

Backup: While we take reasonable measures to protect your data, you are responsible for maintaining backups of your User Content.

Our Services, including all software, content, designs, graphics, and other materials, are owned by Filliaux Industries LLC and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

"LabTools" and our logos are trademarks of Filliaux Industries LLC. You may not use these marks without our prior written permission.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in our Privacy Policy.

We also use cookies and similar technologies as described in our Cookie Policy.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that our Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for any damage to your computer system or loss of data resulting from your use of our Services.

Scientific Research: Our Services are tools to assist with research and analysis. You are responsible for verifying the accuracy of any results before relying on them for publications, clinical decisions, or other critical applications.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILLIAUX INDUSTRIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100 USD), whichever is greater.

You agree to indemnify, defend, and hold harmless Filliaux Industries LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

You may terminate your account at any time by contacting us or through your account settings.

We may suspend or terminate your access to our Services at any time, with or without cause or notice, including if we believe you have violated these Terms.

Upon termination, your right to use our Services will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution.

Binding Arbitration: Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Nebraska.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Opt-Out: You may opt out of binding arbitration by notifying us in writing within 30 days of first accepting these Terms.

Governing Law: These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles.

Entire Agreement: These Terms, together with our Privacy Policy and License Agreement, constitute the entire agreement between you and Filliaux Industries LLC.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

Modifications: We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our Services constitutes acceptance of the modified Terms.
